Terms and Conditions for Product Sale
1. Introduction
1.1 These terms and conditions ("Terms") govern the sale of products ("Product" or "Products") by UTOOL Industries ("Seller" or "We") to the purchaser ("Buyer" or "You"). By placing an order for a Product, you agree to be bound by these Terms.
1.2 These Terms constitute the entire agreement between the parties and supersede any previous discussions, agreements, or representations, whether oral or written.
2. Order and Acceptance
2.1 All orders are subject to acceptance by the Seller. We reserve the right to accept or reject any order at our discretion.
2.2 Upon placing an order, you will receive an order confirmation. This confirmation does not constitute acceptance of the order but serves as acknowledgment that we have received it.
2.3 The acceptance of the order and the formation of a contract will occur when we dispatch the Product to you and send you a shipping confirmation.
3. Product Description and Pricing
3.1 We make every effort to accurately describe our Products. However, we do not warrant that the product descriptions or other content on our website or promotional materials are error-free, complete, or up-to-date. If you believe there is an error, please contact us to rectify the situation.
3.2 All prices for the Products are listed in AUD and are exclusive of duties, or shipping costs. The total cost, including any additional charges, will be presented to you before you finalise your order. The company will not be liable for import duties associated with overseas shipping.
4. Payment
4.1 Payment for the Products and any associated fees must be made at the time of placing the order, unless otherwise agreed upon in writing.
4.2 Payment can be made by Credit Card, Paypal or Apple Pay. and all payments are subject to validation checks and authorisation by the payment provider.
5. Delivery
5.1 We will make reasonable efforts to deliver the Products within the agreed-upon timeframe. However, delivery times are estimates and are not guaranteed. We are not liable for any delays or consequential losses arising from late delivery.
5.2 The risk of loss and damage to the Products shall pass to you upon delivery.
6. Returns and Refunds

7. Warranty
7.1 We provide a limited 12-month warranty for our Products from the date of delivery. This warranty covers defects in materials and workmanship under normal use.
7.2 The warranty does not cover damage resulting from misuse, accident, negligence, or unauthorized modifications.
8. Limitation of Liability
8.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the sale or use of our Products.

9.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
